1. Terms of Use

  1. These Terms of Use (hereinafter referred to as these "Terms") apply to the conduct of any individual (hereinafter referred to as the "User") who uses the "Daywill" service (hereinafter the "Service") offered by Teambox Inc. (hereafter "we" or the "Company").
  2. The user shall agree to all items established in the Terms in regard to the use of the Service.
  3. The User shall agree to all terms and conditions described herein these Terms upon registration for the use of the Service.
  4. The User shall accept and comply with these Terms in regard to the use of the Service.

2. Additional Terms

  1. In addition to the general Terms set herein, the Company may establish specific terms applicable to the Service. If Additional Terms are established, they shall be considered incorporated into these Terms and the User shall agree to those Additional Terms.
  2. If there is any conflict between the Additional Terms and these general Terms, these Terms shall have precedence over the Additional Terms.

3. Amendments to these Terms

  1. The Company may amend these Terms at any time, at its sole discretion.
  2. Any amended Terms shall come into effect immediately after they are posted on the Service except under circumstances determined by the Company.
  3. The User shall be automatically bound to agreement with all items set forth in the amended Terms when using this Service once they have come into effect.

4. Notices

  1. The Company may notify the User of matters of importance at any time by posting them on the Service.
  2. Any such notice shall come into effect immediately after it is posted on the Service.

5. User Registration and Use of Service by Registered Users

  1. The Service intended for Registered Users as described in Section 2 of this Article shall be used only by individuals who have completed the User Registration for the Service (hereafter "Registered User"). Users who wish to use the Service may do so only after submitting their User Registration. Legal minors who wish to register as Users can only do so with the permission of a parent or legal guardian; such permission shall be automatically assumed to have been granted once their User Registration is submitted.
  2. In the event that the User may wish to use chargeable content within the Service, the User must complete proper procedures to pay the usage fee (hereafter, "Payment Procedures") as designated by the Company. The Company reserves the right to entrust operations related to Payment Procedures to a third party and furthermore reserves the right to modify those Payment Procedures.
  3. The User shall comply with the following conditions upon registering as a User and/or completing Payment Procedures:
    1. When creating an account, the User shall submit only true and accurate information in the designated registration fields on the website for User Registration and Payment Procedures.
    2. The User shall only submit information concerning his or her own identity for registration purposes. Registration on behalf of a third party is not permitted.
    3. Should there be a change in any submitted information, the User is requested to promptly update his or her data via their User Profile or through the website provided for updating Payment Procedures.
  4. Excluding situations due to the Company’s intention or serious error, we shall not accept responsibility for any damages incurred by the User should they violate the covenants of the above section (Section 3).
  5. In the event that the Company determines that a Registered User has violated these Terms (including, but not limited to, Section 3 of this Article) or has provided false or inaccurate registration information, the Company reserves the right to temporarily suspend all or part of the Service targeted for Registered Users, and to cancel the User's registration, or to block the User from the Service without prior notice. The Company shall not respond to any demands for refunds due to these restrictions to the Service imposed upon the User.
  6. The Company shall issue User IDs for use of the Service targeted for Registered Users (the User may substitute this ID with an email address) and a password, (hereinafter collectively referred to as "ID, etc."). The User shall be responsible for managing the said ID, etc. with his or her own discretion. Any conduct that occurs under the use of a given ID, etc. shall be considered the conduct of the Registered User to which the ID, etc. was issued.
  7. The ID, etc. issued by the Company may be used only by the Registered User and any transfer, loaning, or sharing of the ID, etc. with a third party is prohibited.

6. This Service

  1. The Company reserves the right to revise, add, modify, or discontinue the Service in whole or in part at any time without advance notice, and shall not be held liable for any consequent damages to the User or any third party. In the event that the Service is to be completely suspended, the Company will notify the User in advance through a notice on this website and/or via other methods.
  2. The Company reserves the right to entrust the Service in part to a third party without the consent of the User.
  3. The Company reserves the right to freely use or publicly display any information, such as statistical data of a User’s usage patterns of the Service, after altering that information to prevent the identification of any individual.

7. Service Modifications or Termination

  1. The Company reserves the right to modify or terminate the Service in whole or in part, and shall not be held liable for any consequent damages incurred by the User or third party in the event of any of the following circumstances:
    1. To conduct planned or unplanned maintenance or inspection of the systems used to provide the Service.
    2. If the operation of the Service becomes impossible due to fire, power outage, natural disaster, or other emergency situations.
    3. If the operation of the Service becomes impossible due to war, insurrection, rebellion, or other forms of civil unrest.
    4. If the Company becomes unable to provide the Service due to circumstances arising from measures taken in accordance with any relevant laws or regulations, etc.
    5. In any other circumstance deemed unavoidable by the Company.
  2. In the event that the operation of the Service is to be suspended under any of the conditions above, the Company shall give advance notice of the reasons on their website. This stipulation shall not apply in case of an emergency.

8. Handling of Personal Information

For the provision of the Service, the Company reserves the right to disclose the User’s personal information in accordance with the Privacy Policy separately established by the Company. It shall be assumed that the User agrees to this disclosure of personal information to third parties to the extent that it is necessary for the provision of the Service.


9. User Responsibility

The User shall utilize the Service at their own discretion and shall accept responsibility for all conduct and results thereof. The User shall not cause any interference, disruption, or damages to the Company. Should the Company incur any interference, disruption, or damages whatsoever resulting from the User’s conduct, the User shall accordingly account to the Company for all damages or costs incurred.


10. Viewable Content

The Registered User shall direct all inquiries, claims, etc. concerning Viewable Content to the Company; however, the Company assumes no responsibility for those claims or liabilities excluding situations due to the Company’s intention or serious error.


11 Indemnity

  1. The Company makes no guarantee of the accuracy, recentness, completeness, credibility, or any other aspect of the Service or Viewable Content.
  2. The Company shall accept no duty to modify or update the Service or Viewable Content including cases where either or both become unsuitable for use with the User’s device(s), facility (facilities), or software.
  3. The Company shall take no part in, nor responsibility for, the User’s activities. The Company shall accept no responsibility should dispute arise between a User and a third party.
  4. The Company shall accept no responsibility for damages incurred due to delays in the speed of, or impairments to, the Service or Viewable Content caused by excessive traffic or other unforeseeable causes.
  5. Should the User violate these Terms or should the Company deem the User’s conduct to be otherwise inappropriate to the operation of the Service, the Company reserves the right to suspend the User’s access to the Service without prior notice and to take all necessary measures (including legal action), such as holding the User for accountable for restitution of damages. In such an event, the Company shall accept no responsibility for any damages incurred by the User.
  6. Any User affected by the measures described above, such as the suspension of the Service, is not permitted to seek disclosure of the reason for such measures and shall not contest the use of such measures.
  7. Excluding situations due to the Company’s intention or serious error, the Company shall bear no responsibility for any losses caused by the use of the Service.

12. Intellectual Property Rights

  1. All rights (including, but not limited to, ownership rights, intellectual property rights, likeness rights, and publicity rights) pertaining the text, images, programs, and other data comprising the Service and Viewable Content are the sole property of the Company or third-party rights holder. The User shall not reproduce, duplicate, recreate, distribute, store, sell, publish, or otherwise use said content except within the limits of their personal use without permission from the Company or the applicable third-party rights holder, regardless of the mode or form of expression.
  2. The Registered User shall retain ownership rights to all submitted Material apart from quotes or third-party material.
  3. The Company reserves the right to utilize the aforementioned Material to the extent necessary towards the Service’s operation, maintenance, improvement, analysis, advertising, and publicity, and towards the functioning of the Company’s system architecture.
  4. When using descriptions as delineated in the previous paragraph, the Company reserves the right to edit portions of Material or redact personally identifying information such as names or locations.
  5. The Registered User shall recognize that the Company has no obligation to store any submitted data and the User is responsible for maintaining copies of any needed data.

13. Prohibited Conduct

The User shall not commit any of the following acts while using the Service:

  1. Illegal conduct or acts that violate laws associated with criminal activity, or any conduct deemed suspicious.
  2. Conduct that infringes on any intellectual property rights, such as copyrights or trademark rights of the Company or any third party, or any conduct that appears in violation of these rights.
  3. Conduct that infringes on the property rights, privacy rights, likeness rights, or any other rights of the Company or any third party, or any conduct that appears in violation of these rights.
  4. Conduct that discriminates against or slanders the Company or any third party.
  5. Conduct that uses the Service for commercial purposes (other than those permitted by the Company).
  6. Conduct intended to disrupt the operation of the Service, such as improper access or attempts to access the system.
  7. Conduct that damages the trustworthiness of the Company or any third party.
  8. Conduct that violates the law, public order and morals, or these Terms, or any conduct that appears in violation of them.
  9. Any other conduct that the Company deems to be improper.

14. Effectiveness of These and Other Terms of Use

  1. Should any part of these Terms be deemed unenforceable by law, all other Terms shall remain effective.
  2. Should any part of these Terms be deemed inapplicable to or be withdrawn for an individual User, these Terms shall remain effective for all other users.

15. Governing Law and Jurisdiction

  1. The Terms shall be governed by the laws of Japan.
  2. Should litigation between the Company and User become necessary, the agreed court of jurisdiction for the initial hearing shall be the Tokyo District Court.

Privacy Policy

Teambox Inc. (hereinafter referred to as "We" or "the Company") recognizes the importance of protecting personal information. We have established the following Privacy Policy (hereinafter referred to as "this Policy") for customers (hereinafter "You" or "Users") who use our service DaywillMontaigne (hereinafter "this Service").

  1. Definition of Personal Information

    In this Policy, Personal Information refers to information regarding an existing person. It applies to information that can be used to personally identify specific individuals, such as name, date of birth, or other descriptive information (this includes information that can be readily compared with other information in order to identify a specific person).

  2. Collection of Personal Information

    The Company collects Personal Information by fair and lawful means.

  3. Purpose of Use for Personal Information

    The Company uses Personal Information within the scope of the purposes indicated below, which is limited to the extent necessary for performing business activities.

    1. To provide this Service to Users.
    2. To facilitate the smooth usage of this Service for Users.
    3. To optimize the distribution of information to Users of this Service.
    4. To effectively improve this Service through statistical analysis.
    5. To implement surveys related to this Service and toward potential developments of this Service.
    6. To respond to contact requests from Users.
    7. To deliver information regarding this Service and/or send notifications, contests, prizes, and products to Users through media such as e-mail newsletters for advertising our Company or other business entities.
    8. To respond to violations of the Terms of Agreement and this Policy (heretofore collectively "the Agreement") relating to this Service.
    9. To provide notification of modifications or upgrades to the Agreement in regard to this Service.
    10. For purposes related to those mentioned above.

  4. Acquisition and Use of Attribute, Terminal, and Position Information, Behavior History, etc.

    We use such technology as cookies in order to protect user privacy, improve usability, distribute advertisements, and we use statistical data provided from Users that cannot be used to identify individuals (information that cannot identify individuals even if combined) such as age, gender, occupation, geographical location, terminal information, behavior history in regard to the User’s use of this Service, and geographical information provided from User agreements and applications while using smartphones. Users who wish to deactivate cookies and other such technologies can do so with the settings on their terminals. By deactivating this technology, however, parts of this service may cease to function. Also, we process the personal information provided, which cannot be used to identify individuals, in order to create statistical information. We may use or provide such statistical information that cannot be used to identify users to third parties without restriction.

  5. Provision of Personal Information to Third Parties

    We do not provide personal information to third parties without the user’s prior consent (this includes legal representatives and others authorized to to provide consent. This also holds for the below section), except when required by law.
    We may access personal information and disclose it to third parties in the following cases.

    1. When the user provides consent.
    2. When disclosure is demanded by judicial decision, order, or other judgment based on laws and ordinances or the laws and ordinances of courts or other administrative bodies.
    3. When it is deemed necessary to protect human life, health, or property, and there are difficulties obtaining the user’s consent.
    4. When it is especially important for improving public health or promoting the sound fostering of children, and it is difficult to obtain the user’s consent.
    5. In cases where it is necessary for a national agency or a local public entity or a person entrusted therewith to cooperate in fulfilling the affairs prescribed by law, and obtaining consent from the user may hinder the execution of relevant duties.

  6. Management of Personal Information

    We protect the accuracy of personal information and securely manage it.
    We take appropriate information security measures in order to prevent the loss, damage, alteration, and disclosure, etc. of personal information.
    We correctly manage personal information through our administrative system and things like providing employee training, and have prevention measures in place to prevent the loss, damage, alteration, and disclosure of personal information.

  7. The outsourcing of personal information processing, etc.

    We may outsource a part or all of the handling of personal information.
    We perform appropriate and required supervision of the parties that receive said personal information in order to ensure the secure handling of that information.

  8. Request for the notification of purpose of use, disclosure, revision, suspension of use, etc. of Personal Information

    We will quickly and honestly respond in accordance with the Act on the Protection of Personal Information (Act No.57 in 2003; below, "Personal Information Protection Act") to users' requests for notification, correction, supplement, elimination, suspension of use, or notification for the purpose of use (this includes legal representatives and those who are authorized to submit disclosure requests on behalf of users (defined below). This is also the case for the below section) related to personal information after the identity of the user that submitted the disclosure request or other request (below, "disclosure request, etc.") is confirmed.
    However, when a disclosure request, etc. does not meet the specified requirements of the Personal Information Protection Act, or other laws besides the Personal Information Protection Act, or there are reasons for refusing the disclosure request, etc., the request may not be met.
    There are no fees that the user must pay to us relating to disclosure requests, etc.
    However, the user is responsible for mailing costs, travel fees, and material preparation fees that may be incurred in relation to demonstrating his or her identity, as specified above.

  9. Revisions to the Privacy Policy

    We review and constantly work to improve the operational situation regarding the handling of personal information as appropriate. This policy may be changed when necessary. The revised Privacy Policy will be available to view on this site at any time.
